Welcome to Clarivo.Cloud ("Clarivo", "we", "us", "our"). We provide a Software-as-a-Service (SaaS) platform that includes Point of Sale (POS), inventory management, human resource management (HRM), and other business operations tools (the "Service").
These Terms and Conditions ("Terms") govern your access to and use of our Service. By creating an account, clicking "I Agree," or using the Service, you ("Tenant," "you," "your") agree to be bound by these Terms.
If you do not agree to these Terms, you may not use the Service.
To use the Service, you must register for an account. You agree to:
Provide accurate, current, and complete information.
Be at least 18 years old and legally capable of entering into a contract.
Keep your password and account credentials secure and confidential.
Be solely responsible for all activities that occur under your account. You must notify us immediately of any unauthorized use.
We offer a 7-day free trial of our "Unnoti" package (or as otherwise specified). After the trial period expires, your access to the Service will be suspended. To continue using the Service, you must select and pay for a subscription plan.
Plans: Our Service is offered through various subscription plans (e.g., Shuru, Unnoti, Shomriddhi) and optional Add-Ons (e.g., eCommerce, Prestige Pack).
Billing: Fees are billed in advance on a monthly or annual basis.
Automatic Renewal: Your subscription will automatically renew at the end of each billing cycle unless you cancel it through your account dashboard or by contacting support before the renewal date.
Payment: All fees are in Bangladeshi Taka (BDT). You must provide a valid local payment method (such as bKash, Nagad, Rocket, or bank card). By subscribing, you authorize us to charge your payment method.
Taxes: All fees are exclusive of all taxes, levies, or duties, including VAT, as imposed by Bangladeshi tax authorities. You are responsible for paying all such taxes.
Price Changes: We reserve the right to change our subscription fees. We will provide you with at least thirty (30) days' notice of any fee changes.
Cancellation by You: You may cancel your subscription at any time. The cancellation will take effect at the end of your current billing cycle. We do not provide refunds or credits for any partial subscription periods.
Termination by Us: We reserve the right to suspend or terminate your account and access to the Service, with or without notice, for:
Breach of these Terms.
Non-payment of fees.
Any illegal, fraudulent, or abusive activity.
Data on Termination: Upon termination or cancellation, your right to access your data ceases. We will make a reasonable effort to allow you to export your data before termination but are not obligated to do so. We reserve the right to delete all your data from our servers after a reasonable period following termination.
License: We grant you a limited, non-exclusive, non-transferable, revocable license to use the Service strictly for your internal business operations, as per your subscribed plan.
Acceptable Use: You agree not to:
Use the Service for any illegal or unauthorized purpose.
Upload or transmit any viruses, malware, or malicious code.
Reverse-engineer, decompile, or attempt to discover the source code of the Service.
Resell, lease, or sublicense the Service to any third party (unless you are on an official "Reseller" plan, if offered).
Use the Service to store or transmit any data that infringes on any person's intellectual property rights or privacy.
Your Data: You retain all ownership, rights, and intellectual property to the data you upload or create in the Service (e.g., your product lists, sales figures, customer information) ("User Data"). You grant us a limited license to host, process, store, and back up your User Data solely for the purpose of providing and improving the Service.
Our IP: We (and our licensors) own all rights, titles, and interests in and to the Service itself, including all underlying software, code, user interfaces, logos, and trademarks (the "Clarivo IP"). These Terms do not grant you any ownership rights to the Clarivo IP.
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLARIVO, ITS OWNERS, OR ITS DIRECTORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF (OR INABILITY TO USE) THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE SERVICE SHALL NOT EXCEED THE TOTAL FEES YOU HAVE PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
Your privacy is critical to us. Our use of your data is governed by our Privacy Policy, which is available at https://clarivo.cloud/page/privacy-policy. By using the Service, you agree to the terms of our Privacy Policy. You must read it carefully.
We reserve the right to modify these Terms at any time. If we make material changes, we will notify you via email or through the Service at least thirty (30) days before the new Terms take effect. Your continued use of the Service after such changes constitutes your acceptance of the new Terms.
These Terms shall be governed by and construed in accordance with the laws of the People's Republic of Bangladesh, without regard to its conflict of law provisions.
